Professional Services Terms and Conditions
These Professional Services Terms and Conditions are for suppliers that provide a range of services including discovery, analysis and design, implementation, configuration, training and other consultancy services.
The Customer requests services which are either described in a written Proposal (quote, work order, proposal or other document) or a Statement of Work. Once accepted and signed, a ‘Contract’ is made comprising the terms and conditions and the Proposal or Statement of Work. ‘Small Tasks’ can be requested and provided without a ‘Proposal’ or Statement of Work.
The Customer has various obligations, recognising that the Supplier cannot perform unless the Customer also meets its obligations.
The terms and conditions include a change request procedure. They also include acceptance testing process, which may apply.
These terms and conditions are not intended to cover supply of third party SaaS or licensed software products. These supplies are governed by separate agreements. These terms and conditions also do not expressly cover supply of support services. Separate agreements / terms and conditions are to be used to govern supply of support services.
These terms and conditions are 12 pages including the cover page. The terms and conditions are not signed by the parties.
