Your Package Includes

  • Standard product updates – updates typically provided on 12 month release cycle
  • Services via email email / phone – call us with queries on how to use the product, what type of information needs to be included in schedules and so on. This is not legal advice, it is use of product information only.
  • Basic configuration (style only)– we apply your company logo and name and contact details into the product. The basic configuration will also be applied to ITC updates made available to you.
  • NTR – a ‘negotiation topics register’ that:
    • identifies issues that could be raised in negotiation by the other party in relation to the particular product agreement (non-exhaustive).
    • provides a standard response as to why the relevant provision is written as it is.
    • provides an alternative provision that could be used.
  • NTR standard updates – updates to the NTR, typically provided on a 12 month release cycle. The updates incorporate feedback from other users of that NTR.
  • Applied configuration (content) – your company-specific provisions incorporated into the product. A maximum of 5 provisions can be included. The applied configuration will also be applied to ITC updates made available to you.
  • Customer requested product updates – request an update to a product and we will prepare and provide that update if it can be standardized and will be useful to other customers (at our discretion)

 Description of Products follows:

SaaS End User Terms (Bundled)

The SaaS End User Terms (Bundled) is for use by Independent Software Vendors (ISVs) providing SaaS (software as a service) to their customers as a hosted service. The SaaS End User Terms are accepted by customers, this is not a signed agreement. The terms apply whether the Supplier is selling the SaaS directly to customers or ‘Authorized partners’ are selling the SaaS or it is available at ‘purchase locations’ (sites); in any of these situations the SaaS End User Terms still applies directly between the Supplier and Customer.

The SaaS End User Terms include provision for a trial period, where a trial is available.

The SaaS under these SaaS End User Terms is bundled with hosting. There is provision for the Supplier to provide a monthly uptime commitment and service credits where the monthly uptime commitment is not met but in both cases this is on an ‘if any’ basis. The Supplier can include options for various aspects separately by notification or agreement with the customer, prior to purchase. This includes hosting options.

There is recognition of the SaaS being dependent on other services and systems not provided by the Supplier.

A Support Schedule is to be attached and this is separately provided in the SaaS End User Terms Bundled Package (GDPR Version).

A GDPR & Data Protection Schedule is also to be attached and this is also separately provided in the SaaS End User Terms Bundled Package (GDPR Version).

Support Schedule (Bundled)

This Support Schedule (Bundled) is written to form part of the SaaS End User Terms (Bundled). The Support Schedule can be attached to the SaaS End User Terms (Bundled) or provided separately.

It is ‘bundled’ because under the SaaS End User Terms (Bundled), the SaaS is a hosted service.

The support services include Basic Support or Premium Support. Additional support offerings can be included or the names or details of the existing support services can be changed. These ‘support services’ are included within the charge for the SaaS.

Requests for Assistance (services that are not in response to an Incident) can also be made by the customer and the Supplier can charge for work on these requests.

GDPR & Data Protection Schedule (for End User Terms)

This GDPR & Data Protection Schedule is for inclusion as a schedule to the End User Terms (Bundled), where the GDPR applies. The ISV is a ‘processor’ in terms of the GDPR. These GDPR provisions can be removed if not applicable. Alternatively contact us for a non-GDPR version. info@itagree.com. Note the GDPR & Data Protection Schedule is 23 pages long including the cover page. Much of the GDPR content is mandatory and cannot be shortened.
